AGREEMENT TO OUR LEGAL TERMS
We are Mortgage Excellence Pty Ltd ATF Levett Family Trust t/as SalesRUp.ai ("Company," "we," "us," "our"), an entity registered in Australia with a postal address at P.O. Box 2, Belrose, SYDNEY, NSW 2085, AUSTRALIA.
We operate the website https://salesrup.ai (the "Site"), as well as any other related products and services that refer or link to these legal terms (the "Legal Terms") (collectively, the "Services").
These Legal Terms constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you"), and Mortgage Excellence Pty Ltd ATF Levett Family Trust t/as SalesRUp.ai, concerning your access to and use of the Services. You agree that by accessing the Services, you have read, understood, and agreed to be bound by all of these Legal Terms. IF YOU DO NOT AGREE WITH ALL OF THESE LEGAL TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND YOU MUST DISCONTINUE USE IMMEDIATELY.
Supplemental terms and conditions or documents that may be posted on the Services from time to time are hereby expressly incorporated herein by reference. We reserve the right, in our sole discretion, to make changes or modifications to these Legal Terms at any time and for any reason. 1. OUR SERVICES
salesrup.ai is an AI-powered platform designed to enhance sales readiness, pipeline management, and lead conversion through integrated automation and intelligent insights. The information provided when using the Services is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation. Accordingly, those persons who choose to access the Services from other locations do so on their own initiative and are solely responsible for compliance with local laws, if and to the extent local laws are applicable.
2. INTELLECTUAL PROPERTY RIGHTS
Our Intellectual Property Unless otherwise indicated, the Services are our proprietary property and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Site (collectively, the "Content") and the trademarks, service marks, and logos contained therein (the "Marks") are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws and various other intellectual property rights and unfair competition laws of Australia, foreign jurisdictions, and international conventions. The Content and the Marks are provided on the Services "AS IS" for your internal business purpose only.
Your Use of Our Services Subject to your compliance with these Legal Terms, we grant you a non-exclusive, non-transferable, revocable license to access the Services and download or print a copy of any portion of the Content to which you have properly gained access, solely for your internal business purpose. We reserve all rights not expressly granted to you. Any breach of these Intellectual Property Rights will constitute a material breach of our Legal Terms and your right to use our Services will terminate immediately.
Your Submissions and Contributions By directly sending us any feedback or other information about the Services ("Submissions"), you agree to assign to us all intellectual property rights in such Submission. If the Services invite you to contribute content ("Contributions"), you grant us an unrestricted, unlimited, irrevocable, perpetual, non-exclusive, transferable, royalty-free, fully-paid, worldwide right, and license to use, copy, reproduce, distribute, and exploit your Contributions for any purpose. You confirm that you have all necessary rights and licenses for your Submissions and Contributions.
3. USER REPRESENTATIONS
By using the Services, you represent and warrant that: (1) all registration information you submit will be true, accurate, current, and complete; (2) you have the legal capacity and you agree to comply with these Legal Terms; (3) you will not access the Services through automated or non-human means; (4) you will not use the Services for any illegal or unauthorised purpose; and (5) your use of the Services will not violate any applicable Australian law or regulation, including, but not limited to, the Privacy Act 1988 (Cth).
4. USER REGISTRATION
You may be required to register with the Services. You agree to keep your password confidential and will be responsible for all use of your account and password.
5. PURCHASES AND PAYMENT

6. SUBSCRIPTIONS
Your subscription will continue and automatically renew unless cancelled by you. You consent to our charging your payment method on a recurring basis until you notify us of your cancellation. You may cancel your subscription at any time by logging into your account. We may make changes to the subscription fee and will communicate any price changes to you in accordance with applicable Australian law.
7. PROHIBITED ACTIVITIES
You may not access or use the Services for any purpose other than that for which we make the Services available. Prohibited activities include, but are not limited to: systematically retrieving data; circumventing security features; disparaging us; making improper use of support services; using the Services in a manner inconsistent with any applicable Australian laws or regulations; uploading viruses or spam; engaging in automated use of the system; attempting to impersonate another user; interfering with the Services; or making any unauthorised use of the Services to compete with us.
8. USER GENERATED CONTRIBUTIONS
Any Contributions you create, submit, or transmit may be treated as non-confidential and non-proprietary. You represent and warrant that your Contributions do not and will not infringe any third party's rights, including moral rights, and that they comply with all Australian laws, including prohibitions against defamation or misleading conduct.
9. CONTRIBUTION LICENSE
By posting your Contributions, you automatically grant us an unrestricted, unlimited, irrevocable, perpetual, non-exclusive, transferable, royalty-free, fully-paid, worldwide right, and license to host, use, copy, reproduce, and distribute such Contributions. You consent to any act or omission by us that would otherwise infringe your Moral Rights, provided such act or omission is reasonably necessary for the provision of the Services.
10. SOCIAL MEDIA
You may link your account with Third-Party Accounts (Social Network Content). By granting us access, you understand we may access and store content from those accounts. Your relationship with those third-party providers is governed solely by your agreements with them.
11. THIRD-PARTY WEBSITES AND CONTENT
The Services may contain links to Third-Party Websites and Third-Party Content. We do not investigate or monitor such content and are not responsible for its accuracy or policies. If you access them, you do so at your own risk.
12. SERVICES MANAGEMENT
We reserve the right, but not the obligation, to: (1) monitor the Services for violations; (2) take appropriate legal action against violators; (3) refuse, restrict access to, or disable your Contributions; (4) remove or disable files that are excessive in size; and (5) otherwise manage the Services to protect our rights.
13. PRIVACY POLICY

15. TERM AND TERMINATION
These Legal Terms remain in effect while you use the Services. SUBJECT TO OUR OBLIGATIONS UNDER THE AUSTRALIAN CONSUMER LAW, we may deny access to, suspend, or terminate the Services or delete your account at any time for any breach of these Legal Terms or applicable law.
16. MODIFICATIONS AND INTERRUPTIONS
We reserve the right to change, modify, or remove the contents of the Services at any time. We cannot guarantee the Services will be available at all times. Nothing in this clause excludes the operation of the non-excludable guarantees under the Australian Consumer Law.
17. GOVERNING LAW
These Legal Terms and your use of the Services are governed by and construed in accordance with the laws of New South Wales, Australia, and the Commonwealth of Australia.
18. DISPUTE RESOLUTION
Any legal action brought by either Party shall be commenced or prosecuted in the appropriate courts of New South Wales, Australia. The Parties agree to submit to the exclusive jurisdiction of the courts located in New South Wales, Australia.
19. CORRECTIONS
We reserve the right to correct any errors, inaccuracies, or omissions on the Services, including descriptions, pricing, and availability, at any time, without prior notice.
20. DISCLAIMER
THE SERVICES ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. NOTHING IN THIS DISCLAIMER EXCLUDES, RESTRICTS, OR MODIFIES ANY CONDITION, GUARANTEE, WARRANTY, OR RIGHT IMPLIED OR IMPOSED BY THE COMPETITION AND CONSUMER ACT 2010 (CTH) OR ANY OTHER APPLICABLE LEGISLATION, TO THE EXTENT THAT SUCH LIMITATION IS PROHIBITED BY LAW. To the fullest extent permitted by Australian law, we disclaim all other warranties.
21. LIMITATIONS OF LIABILITY
IN NO EVENT WILL WE BE LIABLE TO YOU FOR ANY INDIRECT, CONSEQUENTIAL, OR PUNITIVE DAMAGES. SUBJECT TO YOUR RIGHTS UNDER THE AUSTRALIAN CONSUMER LAW (ACL), our total aggregate liability to you for any cause whatsoever will at all times be limited to the amount paid, if any, by you to us during the six (6) month period prior to any cause of action arising.
22. INDEMNIFICATION
You agree to defend, indemnify, and hold us harmless from and against any loss, damage, liability, claim, or demand, including reasonable legal fees and expenses, made by any third party due to or arising out of your breach of these Legal Terms or your violation of the rights of a third party.
23. USER DATA
We will maintain certain data that you transmit to the Services. You are solely responsible for all data you transmit. You agree that we shall have no liability to you for any loss or corruption of any such data. We will comply with all mandatory data breach notification requirements under the Australian Privacy Act 1988 (Cth).
24. ELECTRONIC COMMUNICATIONS, TRANSACTIONS, AND SIGNATURES
You consent to receive electronic communications from us and agree to the use of electronic signatures, contracts, and delivery of notices.
25. SMS TEXT MESSAGING
You can opt-out of receiving SMS messages from us by replying "STOP." Message and data rates may apply. All SMS communications conducted via the Services must comply with the Spam Act 2003 (Cth) and any relevant Australian telecommunications laws.
26. MISCELLANEOUS
These Legal Terms constitute the entire agreement. If any provision is found to be unlawful, void, or unenforceable, that provision is deemed severable and does not affect the validity of the remaining provisions.
27. DEFINITIONS
Mortgage Excellence Pty Ltd ATF Levett Family Trust t/as SalesRUp.ai (also referred to as "salesrup.ai," "Company," "we," or "us"): The provider of the AI-powered sales coaching and enablement services.
Client (also referred to as "you" or "Customer"): The entity that has contracted with salesrup.ai.
End Customer (or "Customer of Client"): An individual or entity who is a customer, lead, or prospect of the Client, whose data is processed by the Services.
Services: The AI-powered sales enablement, coaching, analytics, and CRM integration services provided by salesrup.ai.
Applicable Laws: All laws, statutes, regulations, and rules applicable to the Client and salesrup.ai, including the Australian Privacy Act 1988 (Cth), the Australian Consumer Law (ACL), and the Australian Spam Act 2003 (Cth).
28. SCOPE OF SERVICES
The Services provided by salesrup.ai are limited to the functionality described on the Site, which includes AI-driven sales coaching, analytics, and CRM integration tools. The Services are not a guarantee of sales success or revenue targets.
29. CLIENT RESPONSIBILITIES
You are responsible for: (1) ensuring all data uploaded complies with all relevant Australian privacy laws, including having necessary consents from individuals to use their personal information and voice recordings; (2) maintaining the accuracy of CRM data; and (3) ensuring your use of the Services does not breach any employment contracts or workplace surveillance laws.
30. MESSAGING CONTENT & AUTOMATION
You authorise salesrup.ai to send electronic communications to End Customers on your behalf. You must comply strictly with the Australian Spam Act 2003 (Cth) regarding all messages sent using the Services, whether using default scripts or custom content.
31. DATA USE & STORAGE
We will store and process Your Data in accordance with our Privacy Policy and the Australian Privacy Act 1988 (Cth). We may use de-identified, aggregated, and anonymised data derived from Your Data for improving the Services.
32. SERVICE LIMITATIONS & NO GUARANTEES
While the Services are designed to improve sales performance, we offer no express or implied warranty or guarantee regarding specific sales results or revenue growth. This section is subject to the non-excludable guarantees under the Australian Consumer Law.
33. TERMINATION & SUSPENSION
This section details the conditions and effects of termination by either Party, including our right to suspend for cause and the handling of refunds (subject to the ACL).
